The Office Agents – Service Provider Terms & Conditions

1. Definitions

• Acceptable Payment Methods: Bank transfer, Credit Card (AMEX, Mastercard/Visa), Cheques (from Australian-based operators only).
• Business Day: Any day except Saturday, Sunday, or public holidays in New South Wales, Australia.
• Content: Information and branding provided by the service provider for listing purposes.
• Customer: A client introduced to the service provider by The Office Agents.
• Customer Licence: A licence agreement for office space, not including leases.
• Data Protection Legislation: Australian Privacy Principles (APPs) and other relevant privacy laws.
• Due Date: Within 28 days of invoice date.
• Event of Insolvency: Any insolvency event as defined by Australian law.
• Workspace Fees: Fees paid by the Customer to the service provider for the first 12 months of the Customer Licence.
• Introduction: Introduction of Customers leading to a Customer Licence.
• Market Data: Data regarding workspace availability, pricing, etc.
• The Office Agents Fee: A commission equal to 8% of the Workspace Fees exclusive of applicable taxes.
• Representatives: Directors, employees, agents, etc.
• Services: Lead generation, listing services, and customer support provided by The Office Agents.

• Tax: Any applicable sales tax.
• You/Your: The service provider listing the workspace.

2. Agreement Scope

• These terms govern the services provided by The Office Agents and exclude other terms to the maximum extent permitted by law.
• You warrant that you are authorized to list the workspace and enter into Customer Licences.
• All introductions of customers by The Office Agents are covered by these terms, obligating you to pay the The Office Agents Fee.

3. Listing Services

• The Office Agents will list your workspace on its site but does not guarantee customer volume.
• You agree to accept or reject introductions within 2 Business Days and to handle customer viewings promptly.
• You may upload content, granting The Office Agents the right to use, edit, and distribute it.

4. Fees and Payments

• You must notify The Office Agents when a Customer Licence is entered.
• The Office Agents Fee is payable upfront, with invoices due within 28 days.
• In the event of insolvency or termination, all fees become immediately due.

5. Data Protection

• Both parties will comply with applicable Data Protection Legislation.
• The Office Agents act as Data Controller, and you as Data Processor for customer data until a licence is concluded.
• You must delete customer data upon request or within 9 months if no licence is concluded.

6. Compliance

• You agree to comply with all relevant laws, including anti-bribery, anti-corruption, anti-slavery, and human rights laws.
• The Office Agents provide services as an independent contractor, not as a real estate agent.

7. General Provisions

• Termination does not affect accrued rights or obligations.
• Amendments to these terms may be made for legal or regulatory compliance.
• Confidentiality obligations apply during and after the term of these terms.
• These terms are governed by the laws of New South Wales, Australia.
